FlashLogic LTD • Master Service Agreement
"By engaging with FlashLogic LTD, you enter into a legally binding agreement governed by the laws of Scotland. These terms safeguard the integrity of our engineering standards and client interests."
1. Engagement & Services
FlashLogic LTD (Company No: SC882060) provides high-end software engineering, technical consultancy, and enterprise-grade digital solutions. Formal engagement commences upon the execution of a Statement of Work (SOW) or the clearance of an initial commitment fee.
2. Intellectual Property (IP) Sovereignty
Unless expressly defined in the SOW:
- Retention of Rights: All intellectual property, including proprietary algorithms, source code, and architectural designs, remain the property of FlashLogic LTD until all contractual obligations and project fees are settled in full.
- Commercial License: Upon final settlement, the client is granted a perpetual, non-exclusive, worldwide license to utilize the delivered assets for their intended business operations.
3. Limitation of Liability
FlashLogic LTD shall not be held liable for indirect losses, data breaches resulting from third-party infrastructure, or loss of profits arising from service delivery. Our total indemnity is capped at the total professional fees paid for the specific deliverable in dispute.
4. Governing Law & Jurisdiction
This Agreement is strictly governed by the laws of Scotland. Any legal discourse shall be subject to the exclusive jurisdiction of the Scottish Courts.
